When I saw the poster for the 2022 Pepsi Super Bowl somewhere last year, the first thing I said to myself was "whoever put this list of artists together must be really really mad."

Today, while I was watching the 2022 Pepsi Super Bowl LVI Halftime Show, I said to myself again "now this production and set feels just like something Baba Sadiq and his team did last year.  Though it also looks like a 'Dr. Dre' celebration', I swear on the two cents in my pocket that every detail was spot on. At a point, Dre himself was mixing the sound and playing the keys. Oh yeah, I mean that is the legendary Dr. Dre, 'god' of good and quality sound, and the one the rest of 'West Coast' call 'the Father of Rap'.

The opening act saw Snoop Dogg and Dre doing a song together. I won't give you plenty of details, watch the video (link provided below) and get the goosebumps some. All I will say about that performance is after Snoop saluted Dr. Dre, "It is the one and only D.R.E. Dr. Dre you lil bastards!!!" you catch the drift?

Oh!!! let me add that whatever Snoop Dogg has been eating, drinking, and smoking, doctors need to study the ingredients and chemical compositions because it appears the guy is just an immortal. Well enough of Snoop.

50 Cent also took his turn hanging upside-down while he did his 'In da club' song which Dr. Dre produced and co-wrote.

Mary J. Blige took it way down with her 'Family Affair' song which was also produced by the maestro Dr. Dre. She was really 'in the spot' and 'made it feel alright' charley!!!!

Kendrick Lamar literally got out of the box to say 'Nigga!!!, we gon be alright'.

READ ALSO: Playing I Ain't Mad at Cha and Still D.R.E. by Dr. Dre on the piano

Then came my favorite part when Dr. Dre's musical firstborn, Marshall Bruce Mathers III, known to the entire world as Eminem, did his usual entry - appeared from the bottom of the stage doing the song that lets you 'Lose Yourself' in the music. Like fine wine, Slim Shady keeps getting better with age. Well, I had to 'Snapback to reality' cos 'he's dope and he knows that' but 'the clocks run out' all too soon.

And like a son will do to a father to honor him in public or in this case to the rest of the world, Eminem just had to bend the knee to greatness. In response to this humble gesture, Dre took charge of a white piano and played one or two of his legendary songs, and like the boss he is, he ended this short piano performance with his 'Still D.R.E. ' classic before teaming up again with Snoop to do the actual  'Still D.R.E.' song. The entire host of artists joined him on stage.

Though Dr. Dre is grown a lot, he is still ahead of his game and he still got love for the streets.

The 2022 Pepsi Super Bowl was a beautiful Dre Day!!!

Detty December in Ghana is simply the enjoyment level in Accra every December. It is always that time of the year that the world comes to Ghana.

It is a fine opportunity for the diaspora to connect with their roots - cultural diversity, heritage and “new skuul” lifestyles like pop culture, music and food.

With the elevation of all the tourism value chain elements coupled with Africa being the new market target, many companies are increasingly making their brands relevant to the Gen Z and Millennials.

In no particular order, these are the brands that came out December.

Daily Paper

Daily Paper is an African-inspired fashion brand known for its ready-to-wear garments and accessories with a creative direction fueled by rich African culture wrapped in contemporary designs.

READ ALSO: It was a beautiful Dre Day!!!

The brand has truly become one of the fastest growing fashion brands in Africa and Europe, offering timeless designs across accessories, streetwear and a range of capsules across the season.

During December, Daily Paper which has truly become one of the fastest growing fashion brands in Africa and Europe, opened its sought-after pop-up shop in Accra to drive lovers of streetwear to their hub.

The brand collaborated with other partners such as Off-White by the late Virgil Ablorh, Surf Ghana, Afrochella, NSG, Free The Youth among others to host a line of activities such as parties, networking hangouts, football tournament and other special curated events connected to the culture.

Free The Youth

Free The Youth (FTY) is a collective of young creatives determined to empower young Africans in the area of street-style fashion and culture.

Started as a social media Ghanaian street-style movement, FTY has now developed into a multi-branched organisation with the grand goal of promoting an art-based, youth-oriented movement for creative freedom and community development. It has gradually grown to become the creative mouthpiece for young people.

During the Christmas, the FTY opened its headquarters in Accra, a really impressive space created as a hub for African youth in Ghana. The space, according to the FTY, was a physical representation of Africa’s unmistakable creative evolution.

That grand opening saw a host of paneled talks, the opening of a Free The Youth store, as well as studio sessions and parties which saw likes of Black Sheriff, Chance The Rapper, Vic Mensa, Oxlade, Rema, Kwesi Arthur, Fuse ODG, Kofi Mole and others passing through to catch the vibe.

Ghana Tourism Authority

The Ghana Tourism Authority (GTA) is the lead state agency in charge of implementing the December in Ghana campaign to its highest optimal points.

Since 2019, the government has had a deliberate tourism campaign championed by the GTA to make Ghana the favourite destination for Christmas vibes.

With a master brand ‘December in GH’, the GTA ensured that a large number of the events in December enjoyed a near perfect enabling environment to attract global attention to the country.

“Thanks to the Ministry of Tourism, Arts and Culture (MOTAC) under the able leadership of Dr. Ibrahim Awal, this year’s activations were carefully crafted – focusing on more outdoor activities bearing in mind the times we are in,” said Akwasi Agyeman, CEO-Ghana Tourism Authority (GTA).

GTA supported most of these events with sponsorship, marketing and promotions, and provided health and safety support among others.

There is no doubt that December in GH has become one of Ghana’s successful tourism brands and an anchor that has created a global wave, perhaps a movement, with people always looking forward to it every year.

Instagram

The picture sharing social media platform was intentional about how to immerse its brand into the Christmas vibes in Ghana. Instagram partnered with Afrochella Festival and was also the lead headline sponsor of the festival’s very first Fashion Night Out event.

Produced by Debonair Afrik, a Ghanaian based fashion brand and Afrochella, the Instagram Fashion Night Out was designed to celebrate the thriving fashion scene in Africa and showcase up-and-coming designers from the continent.

The dazzling event included 13 talented designers, two fashion exhibitions, a panel discussion and multi-brand pop up shops. It was Instagram’s way of celebrating Africa’s diverse culture and the vibrant work of African creatives and entrepreneurs. These activities were amplified by Instagram to its millions of followers to gain wider reach.

Martell Cognac

Throughout the year 2021, Martell Cognac has been busy. Most of the brand’s activations were on the back of partnership it had with Amapiano & Brunch Party which has become Accra’s favorite day party. The party is held periodically at Front/Back, music, food, and art club located in Accra, and it has featured major artistes such as R2Bees, MzVee, Stonebwoy, King Promise, Adenkule Gold, Uncle Waffles, Tiwa Savage and many others.

Martell, in partnership with Polo Beach Club also put together arguably the most-talked about high-end lit party known as the Martell Blue Foam Party. It was an epic night and the post-event reactions on social media was crazy, literally everybody looking forward to the next party.

At any of the events during December, guests had the chance to a sensory experience of Martell’s finest eaux-de-vie produced cognacs.

Surf Ghana (Freedom Skate Park)

For the first time, Ghana opened its first skate park – Freedom Skate Park in Accra. The opening which happened in December was also in honour of the late Ghanaian US-based fashion icon Virgil Abloh who was supporting Surf Ghana, the project initiators, to complete the park.

Unveiling the park, organisers paid tribute to the American designer of Ghanaian origin with musical performances by local artists and skate sessions by both professionals and amateurs. A new sport ecosystem that supports well-being, creativity and entrepreneurship.

The Founder of Surf Ghana, Sandy Alibo, said though skating is a lesser-known sport in Ghana, she believes it will go a long way towards boosting tourism and creating networking opportunities for young Ghanaians.

“We’re not talking only about sports, but we’re talking building self-confidence in the youth, about tourism and developing youth entrepreneurship,” she told AFP.

Ever-since its opening, the skate park has become a converging point for a lot of creative minds to connect with each other in sharing ideas and thoughts.

Twitter

The social media giant announced its presence in Africa in April 2021. Twitter’s presence announcement brought a lot of excitement among Ghanaians.

Per observations, whenever Twitter enters new markets, it invests in local communities and the social fabric through relevant partnerships that touches the emotions of the locals.

Ahead of its outdoor activations in December, Twitter partnered Ghanaian rapper M.anifest to launch a special emoji icon for the rapper’s latest album #MadinaToTheUniverse.

After, Twitter debuted its dedicated @TwitterGhana handle, bringing tweets to life on billboards in Accra. According to AdWeek, @TwitterGhana is the social network’s first dedicated handle in sub-Saharan Africa.

These Twitter billboards covered topics and hilarious moments that were uniquely Ghanaian, hence becoming part of viral conversations and also setting the tone for Detty December. One of the billboards captured the mood for Christmas saying “December in Ghana is just a two-week festival”.

Lastly, Twitter partnered with one of the biggest festivals on the continent – Afrochella Festival which was headlined by music superstars Wizkid and Stonebwoy with other talents. The blue bird social platform set up an art installation at the festival which really brought the brand to live.

YouTube

YouTube has always been a place to be entertained — from your favorite dance trends, new sound to exciting video contents.

Over the years, YouTube has enabled an entire generation of creators who have shared their voice and found an audience of more than two billion people.

YouTube, for the first time brought its brand to live in Ghana. The video streaming platform heavily pushed its YouTube Shorts which is a new short-form video experience for creators and artists who want to shoot short, catchy videos using nothing but their mobile phones. YouTube Shorts is a way for anyone to connect with a new audience using just a smartphone and the Shorts camera in the YouTube app.

YouTube had the biggest brand installation at Afrochella by creating what it called “The YouTube Shorts Playground” for over 10,000 revelers that attended the festival.

The brand also engaged in some music thought leadership programmes to help develop the youth and provide assistance to aspiring music industry professionals.

YFM

Ghana’s number one urban radio and leading music station, YFM launched a new initiative “Y Holiday Havoc” to support key December events with marketing, promotions, ticket sales and on-air talents – Presenters and DJs, all to create unforgettable memories for revelers.

Through the Y Holiday Havoc, YFM partnered major festivals such as Afrochella, Wildaland, Tribvl Jungle Fever, concerts – Gold Coast Carnival, Bhim Concert, and parties – PineXGinja, Gold Block Party. Others include Around the World, Taste of Ghana and Beach Lantern Festival.

For the brand, December in Ghana was right time to achieve two things with YHolidayHavoc Campaign – To create brand awareness and Showcase YFM’s Talents to the world. Talents like Kojo Manuel, Mensah Junior, DJ Loft, DJ MzOrstin, AD DJ, DJ MicSmith became household names at every major event and parties during the December. It was one sure way of winning with the brand.

In setting the tone for December in Ghana, YFM engineered a series of thought leadership conversations on Twitter Spaces talking to stakeholders, organizers and musicians who shared their thoughts on December in Ghana.

The brand also activated its waste recycling bottle radio booth. This was to re-enforce the brand's commitment to encourage plastic waste recycling under the YFM Plastic Recycling Campaign championed by Y Cares.

I want to conclude with special shoutouts to all the events that created the platform for these brands to connect with their audience – Afrochella, Wildaland, Amapiano & Brunch, Polo Beach Club, Tribvl Jungle Fever, Gold Coast Carnival, PineXGinja, Gold Block Party, Around the World and Akwaaba UK Parties.

M.anifest drops a banger with the Nigeria’s King of Africa's street anthems, Olamide in this uptempo number titled “Fine Fine”.

As usual the god MC's flow and unquestioned lyricism is on display while Baddo's heavy-hitting hook adds a touch of Afrobeats.

Is this Olamide's first continental African feature? Well if it is then it was worth the wait.

Obrafour
Hiplife artiste Michael Kwabena Okyere Darko, popularly known as Obrafour says only death can bring a stop to his music career.

He disclosed in a recent interview that there is no retirement in the music career.

“Once you are blessed with that talent, it is for life. I’m not sure there is pension in music, when God gives you music talent you can do it till death. All you need is strength,” he said.

He further stated that even though one cannot rule forever, new artistes emerging with time do not have to automatically retire old musicians.

“In this world, you can’t rule forever because everything has an end. I wouldn’t agree if someone says new crop of artistes are emerging so the old ones should retire,” the 'Ako' hitmaker said.

Hammer helped Obrafour secure a deal with Abraham Ohene Djan (OM Studios) and in late 1990s. He has released hit after hit since then. Some of his hit songs include, ‘Kwame Nkrumah’, ‘Aden’, ‘Pae Mu Ka’, Yaanom’, ‘Konkonsa’ and many others.

Pastor Adom with his beloved Dr. Belinda Collins
He might not be a household name yet. His music might not be on everyone lips yet but there’s indication all that is soon to change.

Emmanuel Adom Adjei informed Blakkpepper his musical journey started in primary school when he was in the tenor section of the school choir eventually becoming the leader of the tenor group aged 10.

According to Adom, he served with many artists either as a backing vocalist or or as a bands man adding he developed himself musically such that he directs choirs while grooming other artists.

The Takoradi Technical University graduate first tested the commercial market with his debut EP ‘Unveiled in Glory’ before offering albums ‘100% African Praise Party’ and ‘Praise Overflow’ revealing “there’s a fourth album on the way from which I released the single ‘Conquerors’ which is doing so well.”

His academic journey has seen him through Labone Senior High School, Takoradi Technical University where he offered Marketing and earned a Higher National Diploma (HND), seminary schools where he earned certificate and a diploma before relocating to the US in 2012 where he earned an Associate Degree in Theology and a Second Degree in Human Resource Management. Pastor Adom recently earned his Bachelor of Arts in Theology and getting awarded an Honorary Doctorate in Divinity.

Adom is officially engaged to US born Dr. Belinda Collins who is a daughter of a Minister of God and by training is a Finance and Education person.  Although she was based in Miami, she now resides with Pastor Adom in Houston, Texas with Adom disclosing “we became friends before we fell in love, got engaged we will marry in the year.”

But why Jesus music?

Adom rendered:

“Gospel music is the only form which has no genre like jazz. It is fluid but also it is also my calling and I am a messenger for the people. God’s word can be propagated through acting, writing and other forms but sound has no barrier so I use music as a duty to sway souls for God. Also after death, we gonna do worshipping of God, so why not start now and get used to it.”

It will be 6 years since Adom landed in the US in December, and though he noted that things have been tough, he submits that “I have a church I lead, the youngest to lead a church in my state, I also have a music ministry, publishing ministry and missionary ministry whose mandate is to impact the world.”

Already he’s released his first book and a second is due soon while he serves as a host of a radio show in addition to being a TV host on ND TV.

Although it’s been tough in America, Adom has managed to find himself in corporate America and hopes the networking will help advance his cause.

“Coming to America and being new to the system, I had to study and get grounded and juggling preaching duty, recording in the studio and taking lessons at school was tough but worth the effort,” the ebony man rendered to Blakkpepper via Whatsapp.

While in Ghana, the songwriter, artist groomer and musical director held musical concerts to bring folks under God’s umbrella for worship and in the US he’s carried on the tradition visiting states to minister.

His efforts have been noticed such that in 2017, he received the Community Impact Award for his positive strides in his community.

Among the challenges he’s faced, the pastor cum artist recalled “buying instruments for my music was tough and coming by money to invest in my music was equally challenging and it didn’t help matters that when you play with certain artists they only thank you with ‘God Bless You’ ignoring the fact that it cost money to transport yourself to the venue and prepare yourself for the performance. Some Churches also did same. Also serving people but they proving to be ingrates and bad mouthing you to others was shocking as was some paying good with evil. Also initial low attendance at my concerts was troubling but things have since picked up.”

But how would Pastor Emmanuel Adom Adjei love to be remembered?

“I would love to be remembered as an original artist, a creative whose career lasted long and was impactful across generations and as an artist who helped raise others.”

What can Ghanaians expect from this son of the soil?

“Good music, concerts, conferences or seminars, collaborations with other African acts, solid music videos and interactions with fans on social media,” the Houston based man submitted.

Pastor Adom’s music is on major music shops with CdBaby serving as distributor to digital stores Amazon MP3, Apple and iTunes as well as Ghana’s afTown music platform which sells African records.

But with what meal would Pastor Adom be at home with?

“Waakye with veggies, chicken, beef and fried fish with lots of pepper sauce or ‘shito’.”

By way of beverage, Adom is cool with any fruit beverage.

Enjoy ‘Conquerors’ by Pastor Adom from his yet to be released 4th album

Information available to Tech Voice Africa indicates that the National Aeronautics and Space Administration (NASA) has sighted and reported of an Unidentified Flying Object (UFO) that has entered into the Earth’s orbit and heading towards the Planet.

Per their calculations, the said UFO if it continues on course and maintains velocity, should enter the Earth’s atmosphere by Friday, 27th April 2018.

There are however rumours that the spaceship may be that of Thanos’, a supposed alien from Titan, which is the largest moon of the planet Saturn.

Following this, Tech Voice Africa followed up with the “Strategic Homeland Intervention, Enforcement and Logistics Division,” S.H.I.E.L.D to verify the rumours. We were able to get Colonel Nicholas “Nick” Joseph Fury but the Director remained tight lipped on the issue refusing to comment.

However reliable inside source have confirmed that S.H.I.E.L.D are indeed worried that the Ship may be that of Thanos the “mad” Titan. Our source who decided to speak on condition of anonymity confirmed he over heard Directory Fury on the phone with Billionaire Tony Stark urging him to assist put the “Team” together.

The source confirmed to our reporter that the whereabouts of Dr. Bruce Banner and Captain Steve Rogers remained  top priority.

In the meantime we all remain in suspense and hoping for the best. This is because if the rumours are confirmed to be true and it is indeed Thanos heading to Earth, then this spells doom for the entire planet especially in the wake of the division and confusion being rumoured to have striken the “Avengers” Headquarters.

Joe Mettle
Joseph Oscar Mettle better known by his stage name as Joe Mettle, has reacted to the top 20 most played songs released by The Musicians Union of Ghana (MUSIGA) for 2017 describing it as an opinion.

A few days ago, MUSIGA released the list for the top 20 most played songs in Ghana for 2017, which had Ebony Reigns topping the chat with her hit song ‘Sponsor’.

The release that did not list any of gospel artists flooded the Internet as people questioned the authenticity of its source.

The Award-Winning Gospel artiste in an interview on Happy FM’s ‘After Drive Show’ yesterday said, MUSIGA is not being truthful with the list they collated.

“Without research, one can tell gospel songs are played constantly on air,” he stated.

The ‘Bo Noo Ni’ hit maker challenged the authenticity of the list with reason that most presenters start their shows with gospel songs.

“I am wondering how the research was done,” he said.

Mettle further added that gospel musician’s work hard and though they encounter challenges in promoting their songs, most played songs does not mean most successful.

“ Until we are shown the bases of the research, the top 20 most played songs is just their opinion and that cannot be challenged,” he said.

Having hit gospel songs such as ‘Bo noo ni’ and ‘Owanwanni’ and others to his credit, Joe Mettle, despite the list released by MUSIGA, looks forward to maintaining his reign as Artist Of the year 2018.

Kidi
Ghanaian music germ, Kidi says his ‘Odo’ hit song deserves an award at the upcoming Vodafone Ghana Music Awards (VGMA).

Speaking on Happy FM’s Showbiz Xtra, the Afro Pop singer, the hit song has made a lot of rounds in the year under review and as such an award at the VGMA would mean that his work and effort in the music industry is appreciated.

He was however quick to add that he will be cool if his song does not get a single at this year’s VGMA.

“You don't do music because of awards and if you are an artist who does music purposely for awards, you will never excel rather focus on your vision for doing music. Don't let awards distract you from doing good music," he stated.

Meanwhile it could be recalled that, Charterhouse Productions Limited, organizers of the annual Vodafone Ghana Music Awards Festival opened nominations for the 19th edition of the event earlier in January.

It’s official! The Walt Disney Company has purchased 21st Century Fox, including the 20th Century Fox Film and Television studios, along with cable and international TV businesses.

The deal includes 20th Century Fox, Fox Searchlight Pictures, Fox 2000, 20th Century Fox Television, FX Productions, Fox21, FX Networks, National Geographic Partners, Fox Sports Regional Networks, Fox Networks Group International, Star India and Fox’s interests in Hulu, Sky, and Endemol Shine Group.

The deal doesn’t include the Fox Broadcasting network and stations, Fox News Channel, Fox Business Network, FS1, FS2 and Big Ten Network. Those will be spun off into a newly-listed company.

It has also been revealed that The Walt Disney Company Chairman and Chief Executive Officer Bob Iger has agreed to continue in the position through the end of calendar year 2021.

You can read the full press release below:

The Walt Disney Company and Twenty-First Century Fox, Inc. today announced that they have entered into a definitive agreement for Disney to acquire 21st Century Fox, including the Twentieth Century Fox Film and Television studios, along with cable and international TV businesses, for approximately $52.4 billion in stock (subject to adjustment). Building on Disney’s commitment to deliver the highest quality branded entertainment, the acquisition of these complementary assets would allow Disney to create more appealing content, build more direct relationships with consumers around the world and deliver a more compelling entertainment experience to consumers wherever and however they choose. Immediately prior to the acquisition, 21st Century Fox will separate the Fox Broadcasting network and stations, Fox News Channel, Fox Business Network, FS1, FS2 and Big Ten Network into a newly listed company that will be spun off to its shareholders.

Under the terms of the agreement, shareholders of 21st Century Fox will receive 0.2745 Disney shares for each 21st Century Fox share they hold (subject to adjustment for certain tax liabilities as described below). The exchange ratio was set based on a 30-day volume weighted average price of Disney stock. Disney will also assume approximately $13.7 billion of net debt of 21st Century Fox. The acquisition price implies a total equity value of approximately $52.4 billion and a total transaction value of approximately $66.1 billion (in each case based on the stated exchange ratio assuming no adjustment) for the business to be acquired by Disney, which includes consolidated assets along with a number of equity investments.

Popular Entertainment Properties to Join Disney Family

Combining with Disney are 21st Century Fox’s critically acclaimed film production businesses, including Twentieth Century Fox, Fox Searchlight Pictures and Fox 2000, which together offer diverse and compelling storytelling businesses and are the homes of Avatar, X-Men, Fantastic Four and Deadpool, as well as The Grand Budapest Hotel, Hidden Figures, Gone Girl, The Shape of Water and The Martian—and its storied television creative units, Twentieth Century Fox Television, FX Productions and Fox21, which have brought The Americans, This Is Us, Modern Family, The Simpsons and so many more hit TV series to viewers across the globe. Disney will also acquire FX Networks, National Geographic Partners, Fox Sports Regional Networks, Fox Networks Group International, Star India and Fox’s interests in Hulu, Sky plc, Tata Sky and Endemol Shine Group.

“The acquisition of this stellar collection of businesses from 21st Century Fox reflects the increasing consumer demand for a rich diversity of entertainment experiences that are more compelling, accessible and convenient than ever before,” said Robert A. Iger, Chairman and Chief Executive Officer, The Walt Disney Company. “We’re honored and grateful that Rupert Murdoch has entrusted us with the future of businesses he spent a lifetime building, and we’re excited about this extraordinary opportunity to significantly increase our portfolio of well-loved franchises and branded content to greatly enhance our growing direct-to-consumer offerings. The deal will also substantially expand our international reach, allowing us to offer world-class storytelling and innovative distribution platforms to more consumers in key markets around the world.”

“We are extremely proud of all that we have built at 21st Century Fox, and I firmly believe that this combination with Disney will unlock even more value for shareholders as the new Disney continues to set the pace in what is an exciting and dynamic industry,” said Rupert Murdoch, Executive Chairman of 21st Century Fox. “Furthermore, I’m convinced that this combination, under Bob Iger’s leadership, will be one of the greatest companies in the world. I’m grateful and encouraged that Bob has agreed to stay on, and is committed to succeeding with a combined team that is second to none.”

At the request of both 21st Century Fox and the Disney Board of Directors, Mr. Iger has agreed to continue as Chairman and Chief Executive Officer of The Walt Disney Company through the end of calendar year 2021.

“When considering this strategic acquisition, it was important to the Board that Bob remain as Chairman and CEO through 2021 to provide the vision and proven leadership required to successfully complete and integrate such a massive, complex undertaking,” said Orin C. Smith, Lead Independent Director of the Disney Board. “We share the belief of our counterparts at 21st Century Fox that extending his tenure is in the best interests of our company and our shareholders, and will be critical to Disney’s ability to effectively drive long-term value from this extraordinary acquisition.”

Benefits to Consumers

The acquisition will enable Disney to accelerate its use of innovative technologies, including its BAMTECH platform, to create more ways for its storytellers to entertain and connect directly with audiences while providing more choices for how they consume content. The complementary offerings of each company enhance Disney’s development of films, television programming and related products to provide consumers with a more enjoyable and immersive entertainment experience.

Bringing on board 21st Century Fox’s entertainment content and capabilities, along with its broad international footprint and a world-class team of managers and storytellers, will allow Disney to further its efforts to provide a more compelling entertainment experience through its direct-to-consumer (DTC) offerings. This transaction will enable Disney’s recently announced Disney and ESPN-branded DTC offerings, as well as Hulu, to create more appealing and engaging experiences, delivering content, entertainment and sports to consumers around the world wherever and however they want to enjoy it.

The agreement also provides Disney with the opportunity to reunite the X-Men, Fantastic Four and Deadpool with the Marvel family under one roof and create richer, more complex worlds of inter-related characters and stories that audiences have shown they love. The addition of Avatar to its family of films also promises expanded opportunities for consumers to watch and experience storytelling within these extraordinary fantasy worlds. Already, guests at Disney’s Animal Kingdom Park at Walt Disney World Resort can experience the magic of Pandora—The World of Avatar, a new land inspired by the Fox film franchise that opened earlier this year. And through the incredible storytelling of National Geographic—whose mission is to explore and protect our planet and inspire new generations through education initiatives and resources—Disney will be able to offer more ways than ever before to bring kids and families the world and all that is in it.

Enhancing Disney’s Worldwide Offerings

Adding 21st Century Fox’s premier international properties enhances Disney’s position as a truly global entertainment company with authentic local production and consumer services across high-growth regions, including a richer array of local, national and global sporting events that ESPN can make available to fans around the world. The transaction boosts Disney’s international revenue mix and exposure.

Disney’s international reach would greatly expand through the addition of Sky, which serves nearly 23 million households in the UK, Ireland, Germany, Austria and Italy; Fox Networks International, with more than 350 channels in 170 countries; and Star India, which operates 69 channels reaching 720 million viewers a month across India and more than 100 other countries.

Prior to the close of the transaction, it is anticipated that 21st Century Fox will seek to complete its planned acquisition of the 61% of Sky it doesn’t already own. Sky is one of Europe’s most successful pay television and creative enterprises with innovative and high-quality direct-to-consumer platforms, resonant brands and a strong and respected leadership team. 21st Century Fox remains fully committed to completing the current Sky offer and anticipates that, subject to the necessary regulatory consents, the transaction will close by June 30, 2018. Assuming 21st Century Fox completes its acquisition of Sky prior to closing of the transaction, The Walt Disney Company would assume full ownership of Sky, including the assumption of its outstanding debt, upon closing.

Transaction Highlights

The acquisition is expected to yield at least $2 billion in cost savings from efficiencies realized through the combination of businesses, and to be accretive to earnings before the impact of purchase accounting for the second fiscal year after the close of the transaction.

Terms of the transaction call for Disney to issue approximately 515 million new shares to 21st Century Fox shareholders, representing approximately a 25% stake in Disney on a pro forma basis. The per share consideration is subject to adjustment for certain tax liabilities arising from the spinoff and other transactions related to the acquisition. The initial exchange ratio of 0.2745 Disney shares for each 21st Century Fox share was set based on an estimate of such tax liabilities to be covered by an $8.5 billion cash dividend to 21st Century Fox from the company to be spun off. The exchange ratio will be adjusted immediately prior to closing of the acquisition based on an updated estimate of such tax liabilities. Such adjustment could increase or decrease the exchange ratio, depending upon whether the final estimate is lower or higher, respectively, than the initial estimate. However, if the final estimate of the tax liabilities is lower than the initial estimate, the first $2 billion of that adjustment will instead be made by net reduction in the amount of the cash dividend to 21st Century Fox from the company to be spun off. The amount of such tax liabilities will depend upon several factors, including tax rates in effect at the time of closing as well as the value of the company to be spun off.

The Boards of Directors of Disney and 21st Century Fox have approved the transaction, which is subject to shareholder approval by 21st Century Fox and Disney shareholders, clearance under the Hart-Scott-Rodino Antitrust Improvements Act, a number of other non-United States merger and other regulatory reviews, and other customary closing conditions.

The Justice League
Justice League has finally cracked $600 million at the global box office, despite trailing behind Coco domestically this weekend.

In the wake of Justice League finally releasing and uniting the titans of the DC Comics, information has begun pouring in detailing how Warner Bros rushed their shared universe into production. Though the wait may seem long, it appears the studio was overeager to replicate Marvel Studios’ success with The Avengers in 2012 and scrambled to make Zack Snyder’s Man of Steel into the start of a similar franchise. Unfortunately for DC fans, the results have been mixed.

As Justice League continues to underperform at the box office, rumors have emerged that WB is upending their plans for a number of movies.

It looks as if fans can breathe a sigh of relief, however, as the DCEU film slate isn’t being restructured at the moment. CCXP in Brazil this weekend featured a plan for the universe matching the one unveiled at San Diego Comic-Con this past summer, and Zack Snyder is still producing Aquaman and Wonder Woman 2. Meanwhile, Justice League has crept passed another milestone at the box office.

Variety is reporting that Justice League brought in an additional $9.6 million at the domestic box office this weekend, bringing its total to $212.1M at home. It couldn’t compete with Pixar’s Coco, however, which nabbed $18.3M and won its third weekend in a row. Luckily, the haul was enough to push the DC team-up film to $613.1M worldwide and maintain its position as the 10th biggest film of the year.

Justice League passing $600 million worldwide means its should (in theory) be profitable now, despite being the lowest-grossing DC Film to date. It’s still well behind Wonder Woman‘s domestic haul of $318M at the same point during its own run. The movie has also failed to come anywhere close to The Avenger‘s $623.3M domestic total and $1.5 billion global gross (not accounting for inflation). Justice League‘s extensive reshoots brought its production budget up to a staggering $300M, which is why it’s only now broken even at the box office.

It’s not all bad news, however, as Justice League has become DC’s biggest hit in China. The film has done well internationally, a market that has increasingly benefitted underperforming domestic blockbusters this year. It could be this silver lining that’s preventing WB from reworking its film plans, though the studio’s plans for the future of the shared universe are already undergoing some big changes.

The next DC film won’t hit theaters until December of 2018, when director James Wan’s Aquaman solo movie arrives on the scene. Wonder Woman 2 and Shazam! have confirmed release dates for 2019 and will follow after Aquaman, but the rest of the DC Film release schedule is up in the air at the moment. That includes the potential Justice League sequel, which seems unlikely to happen now (or, at least, until further notice).

Wiyaala
Wiyaala, Ghana’s international singing star, is to host a new weekly show on Radio Progress, the Upper West Region’s first and most popular radio station.

The 90 minute slot billed, “Time With Wiyaala”, will run every Thursday from 8pm to 9.30pm starting 23rd November.

Wiyaala’s brief is to play music by some of the Upper West’s leading talents, old and new, and to chat with artists about their careers and aspirations as musicians in the “forgotten” region.

“I’ll be trying to introduce my audience to the diverse forms of music that exist in our region.  Whilst technology is helpful to music making, I feel we are in danger of losing something of value if we don’t draw on our rich heritage when making modern music.

I’ll be encouraging the young musicians to work on their live performance skills. Artists who mime are unlikely to make it to international stages. The platform also gives me the opportunity to push the causes of children and young women”, the singer said.

Wiyaala is an officially appointed GACA (Ghana Against Child Abuse) and UNICEF Ghana influencer.

Radio Progress was brought to the airwaves by the Wa Catholic Diocese in February 1997 as an initiative to contribute to the development of the Upper West Region and aims to reach all segments of the community.

Now twenty years old, the station broadcasts in English, Dagaare, Waale, Sissali and Briffor.

The 4th edition of the Radio Progress Music Awards (PRUMAS) 2017, will take place at In Service, Wa,  on the 30th December. Wiyaala was appointed a music ambassador for PRUMAS at the first edition in 2014.

She has since gone on to win many national and international awards and is currently Ghana’s most awarded and nominated artist at AFRIMA, the African continent’s biggest awards scheme.
